OBJECT OF THE TERMS

This confidentiality agreement (“Viewing Terms”) aims to protect confidential information exchanged between the parties during discussions related to the development of the project “The Future Community Board”, an initiative by Rollad Media Inc. focused on the digitalization of community boards.

DEFINITIONS

1. Confidential Information : All non-public information disclosed orally, in writing, or by any other means regarding the “The Future Community Board” project, including but not limited to ideas, concepts, plans, strategies, technologies, methods, business models, or other data provided by the Disclosing Party.
2. Exclusions : The following are not considered confidential:
   • Information already known to the public at the time of disclosure.
   • Information legally obtained by the Receiving Party without any obligation of confidentiality.

OBLIGATIONS OF THE RECEIVING PARTY

1. Protect the confidential information with at least the same level of care as used to protect its own confidential information.
2. Not disclose or share the confidential information with third parties without prior written consent from the Disclosing Party.
3. Use the confidential information solely for discussions and collaborations aimed at exploring or supporting the “The Future Community Board” project.

TERM

These terms take effect on the date of the initial viewing and remain valid for a period of two years unless otherwise agreed in writing by the parties.

RETURN OF INFORMATION

At the request of the Disclosing Party, the Receiving Party must return or destroy all copies of the confidential information in its possession.

GENERAL PROVISIONS

1. This Agreement is governed by the laws of the Province of Quebec.
2. Any modifications or exemptions must be made in writing and signed by both parties.
3. The parties confirm that they have read and understood the terms of this agreement and agree to comply with them.
